PLEASE READ THESE OFFICIAL RULES CAREFULLY. THE OFFICIAL RULES FORM A BINDING AGREEMENT WITH RESPECT TO THE PROMOTION. BY ENTERING THE PROMOTION, YOU AGREE TO AND WILL COMPLY WITH THESE OFFICIAL RULES. IF YOU DO NOT AGREE TO THESE OFFICIAL RULES, DO NOT ENTER THE PROMOTION.

1. Eligibility: This promotion (the “Promotion”) is open to only residents of the 50 United States and the District of Columbia aged 18 or over and at least the age of majority at the time of entry, excluding employees of FatFace Ltd (the “Promoter” or “FatFace”) and their family and household members, and any other person associated with this Promotion. By entering the Promotion, you represent that you meet these eligibility requirements. The Promoter may require proof from you of your eligibility to win or enter the prize draw.
2. Promotion Period: The promotion period (“Promotion Period”) is between 12:01AM (ET) on January 18, 2023 and 23:59PM (ET) on April 15, 2023. All entries received outside of the Promotion Period are automatically disqualified.
3. How to Enter: You may enter by going to https://us.fatface.com/win, providing your name, email address, date of birth, and zip code. No purchase or payment of any kind is necessary. For avoidance of doubt, you are not required to sign up to receive marketing emails or any other marketing content from Promoter in order to enter.
4. Prize: 1 x FatFace $500 e-voucher redeemable only at https://us.fatface.com. The total value of all prizes is $500 USD.
5. Winner Selection: There will be one winner. The potential winner will be selected in a random draw, conducted on or around 7 business days of the end of the Promotion Period from all valid entries.
6. Odds of Winning: Odds of winning will depend on the number of eligible entries received. Many will enter, only one will win.
7. Winner notification and confirmation: The potential winner will be contacted via email on or around 7 business days of winner selection. The potential winner must respond within 7 business days, and each potential winner may also be required to sign and return an affidavit of eligibility and/or release. If a potential winner is not contactable or fails to respond to any correspondence within 7 business days of dispatch of the winner notification, the potential winner may be deemed to be disqualified and to have forfeited the prize. In such case, Promoter may (but will not be required to) award the prize elsewhere. A potential winner will be deemed a winner and eligible to receive the prize and the prize will be awarded only after the potential winner’s verification of eligibility and delivery of any required affidavit or release, and Promoter’s final verification and approval of the foregoing. The prize may be delivered on or around 28 days following such verification by Promoter.
8. Promotion Sponsor; No Affiliation with Facebook or Instagram. This Promotion is sponsored and run by FatFace, and is not endorsed, supported, or associated with Facebook, Inc. (“Facebook”), Instagram, LLC (“Instagram”), or third-party manufacturers of products purchased with a prize (collectively with Facebook and Instagram, “Third Parties”). You understand that by using and interacting with Instagram.com or the Instagram mobile app, or any other third-party website or app, you are subject to the respective terms, conditions, and policies that govern the use of those websites, apps, and products. You should therefore review the applicable terms and policies, including privacy and data gathering practices, before using or interacting with them. By entering this Promotion, you agree to and do hereby release, discharge, and hold harmless the Third Parties and their respective affiliates, employees, officers, directors, and representatives from any claims, losses, and damages arising out of participation in this Promotion, any Promotion-related activities, or the acceptance, use, misuse, or possession of any prize awarded hereunder or any product purchased with a prize awarded hereunder. The Promoter is not liable for any third-party products or services. Any products purchased with any e-voucher are subject to the respective manufacturer’s terms and conditions.
9. Entry Requirements/Conditions: Limit one entry per person. For avoidance of doubt, you may not enter multiple times using multiple accounts, etc. All entries become the property of Promoter and will not be acknowledged or returned. Without limiting the foregoing, bulk entries made from trade, consumer groups, or third parties will not be accepted. Incomplete, inaccurate, undelivered, late, or illegible entries and entries (including as a result of any technical, electronic, telephone, hardware, software, internet, server, email platform, Facebook, Instagram, website, access provider, network, computer, data transmission, or any third-party service errors, malfunctions, or difficulties, including any active or passive filtering, of any kind) which do not satisfy the requirements of these Official Rules in full will be disqualified and will not be counted. Without limiting its other rights herein, if Promoter determines that an entrant is circumventing the foregoing requirements by, for example, the use of ‘script,’ ‘brute force,’ masking their identity by manipulating an IP address, using identities other than their own or any other automated means, in order to increase the entrant’s entries into the draw in a way that is not permitted or consistent with the spirit of the Promotion, that entrant’s entries will be disqualified and any prize award will be void, and, without limiting its other rights herein, Promoter may modify or terminate the Promotion.
10. Prize Conditions: The prizes are not transferable or exchangeable (in whole or in part) and cannot be redeemed for cash or any other form of compensation to the extent permitted by law. If for any reason a prize is not available, the Promoter may substitute another prize for it, in its sole discretion. The winner will be solely responsible for any and all taxes or other assessments associated with receipt and use of the prizes. The $500 FatFace e-voucher is redeemable only at https://us.fatface.com.
11. Indemnity: By entering the Promotion and insofar as is permitted by law, the participant agrees to release the Promoter, and their promotional partners, their respective affiliates and subsidiaries, all prize suppliers, and the directors, officers, employees and agents of all such entities (collectively, the “Released Parties”) from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Promotion, the acceptance, possession, or use of any prize (or any products purchased with any prize), or your violation of any applicable law, rule, or regulation (collectively, “Applicable Laws”).
12. Disclaimer: The Released Parties disclaim all responsibility for, and may not be held liable for, any of the following: (i) the Promotion, including the administration of the Promotion, the selection or confirmation of a winner, any errors, omissions, or the acceptance, possession, use or misuse of any prize and any product purchased with a prize, including personal injuries, death, and property damage; (ii) publicity rights, defamation, or invasion of privacy, whether suffered by you or a third party; (iii) late, incomplete, incorrectly submitted, corrupted, or misdirected entries, claims or correspondence whether due to error, omission, alteration, tampering, deletion, theft, destruction, transmission interruption, communications failure, or otherwise; (iv) any errors, omissions, incorrect or inaccurate information in any Promotion-related materials, including printing or advertising errors or the failure of or problems with any equipment or programming associated with or used in the Promotion howsoever caused; or (v) the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third party, including third-party computer "hackers" or otherwise. Promoter disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose with respect to the Promotion, any prize, and any products purchased with a prize. Proof of sending an entry is not proof of entry.
13. Termination/Modification of Promotion: The Promoter may in its sole discretion cancel, terminate, modify, or suspend any Promotion for any reason or no reason, including if for any reason any aspect of any Promotion is not capable of running as planned, including by reason of infection by computer virus, network failure, bugs, tampering, unauthorised intervention, fraud, technical failures, or any cause beyond the control of the Promoter which corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Promotion.
14. Publicity: The winner may be required to participate in reasonable publicity associated with a Promotion. Upon entering a Promotion, the winner grants FatFace the right to print, publish, broadcast, and use world-wide in any media now known or later developed, the winner's name, portrait, picture, voice, likeness, city and state of residence, and biographical information for any purpose, including in advertisements, publicity, and other communications, worldwide, in perpetuity, without additional compensation, notification, or permission, except where prohibited by law.
15. Privacy. The Promoter will only use the personal details supplied for the Promotion and for no other purpose, unless Promoter has obtained consent, and in accordance with the privacy policy found at https://us.fatface.com/legal-info/privacy-policy.html. For avoidance of doubt, if you sign up to receive marketing material, you consent to receiving marketing material from FatFace.
16. Compliance. By entering the promotion, you (a) agree to comply with and be bound by these Official Rules, the decisions of Promoter, which are final and binding in all matters, and any and all Applicable Laws; and (b) waive any right to claim ambiguity in the promotion or these Official Rules.
17. Binding Contract. By entering into the Promotion, you acknowledge and agree to these Official Rules, which form a binding contract between you and Promoter. Without limiting any other remedies that may be available, any breach of these Official Rules may result in a prize being forfeited.
18. Release; Limitation of Liability. The Released Parties’ total liability for any and all claims, judgements, and awards against the Released Parties shall not exceed the total out-of-pocket expenses incurred by you to enter the promotion. In no event shall the Released Parties be liable for any attorneys’ fees, punitive, indirect, incidental, special, and consequential damages.
19. Governing Law; Arbitration; Waiver of Jury Trial; Equitable Relief. This Promotion is void wherever prohibited or restricted by Applicable Law and is subject to all Applicable Laws. The Official Rules will be governed by and construed in accordance with the laws of the United States and the State of Delaware, without giving effect to its conflicts of law provisions. A printed version of these Official Rules will be admissible in judicial and administrative proceedings based upon or relating to these Official Rules to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
    
    Any cause of action or claim you may have arising out of or relating to these Official Rules or the Promotion must be commenced within one year after the cause of action accrues, otherwise, such cause of action or claim is permanently waived.
    
    Any controversy or claim arising out of or relating to these Official Rules, your participation in the Promotion or use of any Prize (or products purchased with a Prize) will be settled by arbitration administered by the American Arbitration Association (AAA) under its rules, including the AAA's Supplementary Procedures for Consumer-Related Disputes and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. However, if you do not wish to have all such controversies or claims settled by arbitration in such manner, you may opt-out of this requirement by emailing Promoter at uscustomerservices@fatface.com within ten (10) days of entering the promotion.
    
    By agreeing to arbitration, you understand and agree you are waiving your rights to assert claims via other dispute resolution processes, including a court action. Unless the arbitrator requires otherwise, you may elect to conduct the arbitration by telephone, based on written submissions or in person in the state in which you reside or a mutually agreed location. All dispute resolution proceedings will be conducted on an individual basis and not in a class action or similar consolidated action. If, for any reason, a claim proceeds in court, rather than in arbitration, you and FatFace each waive any right to a jury trial.
    
    If you believe that a controversy or claim arises out of or relating to these Official Rules, your participation in the Promotion or use of any Prize (or products purchased with a Prize), you agree to provide Promoter with a notification via email to uscustomerservices@fatface.com, briefly summarizing the claim or controversy and your request for relief, before instituting any other formal legal action against us.
    
    YOU AGREE THAT YOU ARE WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION AND THAT YOU MAY BRING CLAIMS AGAINST FATFACE ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR SIMILAR CONSOLIDATED ACTION.
    
    Notwithstanding anything to the contrary herein, you acknowledge and agree that a breach by you of these Official Rules would cause Promoter irreparable harm for which monetary damages would not be an adequate remedy, and in the event of such breach or threatened breach, Promoter will be entitled to injunctive or equitable relief.
20. Requests for Official Rules or Winners List. To request a copy of these Official Rules or the winner's names, please send an email to marketing@fatface.com with the subject line “Official Rules Request; FatFace Spring Wardrobe Prize Draw” or “Winner’s List Request; FatFace Spring Wardrobe Prize Draw,” as applicable, within one hundred and twenty (120) days following the end of the Promotion Period.
21. Additional Terms. If any term or provision of these Official Rules is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Official Rules or invalidate or render unenforceable such term or provision in any other jurisdiction. If any term of these Official Rules is held to be excessively broad or invalid, illegal, or unenforceable in any jurisdiction, it shall be reformed and construed by limiting and reducing it so as to be enforceable to the maximum extent permitted by Applicable Law in conformance with its original intent.
